Group reorganisations

Many businesses operate though group structures. This may be the result of carefully thought through strategies or it may arise from legacy acquisitions.

There are many reasons why a company, or a group of companies, might wish to reorganise their group and restructure their assets. For example:

  • To protect assets from the trading risk of the businesses
  • Access tax reliefs available to groups
  • In preparation for a sale of all, or part, of the group
  • In preparation for a new acquisition
  • Simplify the corporate structure for reporting and administrative purposes
  • Reduce the complexity of reporting with HMRC

01

The first step to any group reorganisation is to provide clear tax advice (and legal advice if required), which clearly sets out the benefits and risks of restructuring. An element of due diligence is also required to establish the availability of reserves, third-party consent requirements and any other potential pitfalls.

02

Next, we typically write to HMRC for clearance. This results in written confirmation from HMRC that they agree with our tax advice and that they are happy for the restructure to proceed on the terms laid out. This is a vital step to ensure you have the peace of mind that the reorganisation sits on the right side of tax law. Once clearance has been received, we then look to obtain approvals from all necessary third parties.

03

The final stage then includes drawing up all necessary legal paperwork, including board minutes and resolutions, as well as filing the necessary information with HMRC and Companies House.

We have significant experience in executing group reorganisations and can help to plan and execute the process with minimal disruption to your business. Talk to us today to discuss how GLX can assist you.

“I can't believe how much easier they have made running my business.”

“Moved to GLX after an incredibly poor service from my previous accountant. GLX have now streamlined my accounts and I can't believe how much easier they have made running my business. I always get a prompt response to correspondence and they fill me with confidence in an area of my business where I have felt vulnerable in the past.
